1. Acceptance of Terms

By accessing or using the Nexus platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Nexus provides a white-label artificial intelligence platform that enables agencies to offer AI tools to their clients under their own brand. The Service includes AI chatbots, content generators, support agents, and ad copy writers.

3. Account Registration

You must register for an account to use the Service. You agree to provide accurate, current, and complete information and to update this information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials.

4. Use of the Service

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service to generate harmful, deceptive, or illegal content. You are responsible for all content generated through your account and your clients' accounts.

5. Subscription and Payment

Access to the Service requires a paid subscription. Subscriptions are billed monthly or annually as selected. All fees are non-refundable except as expressly stated in our refund policy. We reserve the right to modify pricing with 30 days' notice.

6. White-Label License

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to present the Service under your brand to your clients. You may not sublicense, resell, or transfer this license without our written consent.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Nexus and its licensors. Your brand assets (logo, colors, domain) remain your property. AI-generated content produced through the Service is owned by you.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Limitation of Liability

To the maximum extent permitted by law, Nexus shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service.

10. Termination

We may terminate or suspend your account at any time for violation of these Terms. You may cancel your subscription at any time. Upon termination, your right to use the Service will immediately cease.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or a prominent notice on the Service. Your continued use after changes constitutes acceptance of the new Terms.
